Welcome to OvenLabs (hereinafter “the Company,” “we,” “our,” or “us”). These Terms and Conditions govern your access to and use of our official website (https://www.ovenlabs.net), our proprietary web-based simulation platform Faina (including all modules, dashboards, and FainAPI), and the procurement of our Decision Science Consulting and specialized @RISK support services.

By registering for an account, subscribing to any billing plan, purchasing our consulting services, or interacting with our website, you (hereinafter “the Client,” “User,” “you,” or “your”) agree to comply with and be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must refrain from using our services.

1. Key Definitions

  • OvenLabs:

The official brand and technology startup specializing in Decision Science, mathematical modeling, statistical analysis, and advanced risk simulations.

  • Faina (or FainApp):

Our flagship web-based software platform designed to democratize probabilistic risk analysis and project budgeting via our Monte Carlo simulation engine.

  • FainAPI:

The Application Programming Interface that allows clients to integrate Faina’s forecasting and analytical capabilities directly into existing third-party environments (such as Salesforce, SAP, MS Project, or Primavera P6).

  • Consulting Services:

Expert modeling, mathematical logic auditing, and specialized technical support delivered directly by our expert decision science team.

  • Zebra Definition:

Our corporate philosophy; we operate under a double bottom line, striving to remain highly profitable while simultaneously solving real business and social problems sustainably.

2. User Accounts and Registration

To access Faina’s advanced simulation modules, Users must register and maintain an active account, providing truthful, accurate, and current information.

  • You are solely responsible for safeguarding your login credentials.
  • Sharing individual login credentials with multiple users or individuals outside your organization is strictly prohibited.
  • The Free plan is strictly limited to one (1) user for evaluation and trial purposes. Premium and Business plans are limited to the specific number of active licensed seats contracted.

3. Faina Platform and FainAPI Usage

Faina provides pre-configured probabilistic models (such as CAPEX budget simulators and risk registers) which the Client can utilize by uploading their own project data (e.g., CSV files).

  • The Client retains all ownership, intellectual property rights, and title to any data, spreadsheets, or project information uploaded to the platform.
  • The Client grants OvenLabs a limited, non-exclusive, worldwide, royalty-free license to host, process, reproduce, and simulate said data solely for the purpose of generating the requested probabilistic reports and visualizations.
  • Integrating FainAPI must follow our official developer guidelines. The Client is entirely responsible for ensuring that their integrated environments (e.g., Salesforce or SAP instances) meet industry-standard security and connection protocols.

4. Probabilistic Nature and Limitation of Liability

  • Decision Science Notice:

OvenLabs’ services and all outputs generated by the Faina platform (including confidence levels like P50, P80, or P90, cost distributions, S-curves, and Tornado diagrams) are based on Monte Carlo simulations and statistical probability distributions.

  • No Deterministic Guarantees:

The Client understands and agrees that stochastic modeling does not predict future events with absolute certainty. They are statistical support tools designed to help manage and quantify uncertainty. OvenLabs makes no warranty that actual project costs, schedules, market fluctuations, or operational occurrences will match the projected percentiles.

  • Contingency reserves:

Determining contingency reserves (financial or schedule) based on platform outputs is the sole business responsibility of the Client. OvenLabs shall not be held liable for construction cost overruns, project delays, stock shortages, lost profits, or any strategic business failures resulting from the use of the platform, the API, or our consulting advice.

5. Intellectual Property and the Model Flywheel

All intellectual property rights in and to the website, Faina, FainAPI, documentation, simulation algorithms, logos, and pre-built model libraries belong exclusively to OvenLabs.

  • The Flywheel Effect:

To ensure continuous product value expansion, OvenLabs generalises mathematical and logical modeling structures developed during custom consulting projects and incorporates them into Faina’s public library. The Client agrees that such generalized modeling structures, mathematical workflows, and statistical logics—which are fully anonymized, aggregated, and completely stripped of any Client confidential or proprietary business data—will become part of Faina’s standard software offering and are owned by OvenLabs.

6. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, United States.
